PointGreen Terms and Conditions

Welcome to PointGreen (“Platform”), a B2B marketplace operated by Pointgreen Ventures (“PointGreen,” “we,” “us,” or “our”), a company incorporated under the laws of India. These Terms and Conditions (“Terms”) govern your access to and use of the PointGreen platform, including our website, mobile applications, and related services (collectively, the “Services”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.
- Definitions
- CPO: Charge Point Operator, a business seeking land or services for EV charging infrastructure.
- Host: A landowner or property owner listing land for potential EV charging station use.
- Vendor: A service provider offering installation, maintenance, audits, or other EV-related services.
- User: Any individual or entity registered on the Platform, including CPOs, Hosts, Vendors, or other authorized users.
- Content: Information, listings, documents, messages, or materials uploaded or shared on the Platform.
- Credits: Virtual tokens purchased or earned on the Platform to unlock listings or access premium features.
- Nature of the Platform
2.1 Marketplace Role: PointGreen is a digital platform that facilitates connections between CPOs, Hosts, Vendors, and other stakeholders in the EV charging ecosystem. We provide tools for listing land, discovering properties, hiring services, purchasing EV-related products, and communicating between Users. PointGreen is not a party to any agreements, transactions, or disputes between Users.
2.2 No Guarantee of Outcomes: PointGreen does not guarantee the accuracy, suitability, availability, or quality of listings, services, or products offered by Users. We do not endorse, warrant, or assume responsibility for the outcomes of interactions, deals, or transactions facilitated through the Platform. Users are solely responsible for their decisions and agreements.
2.3 Third-Party Interactions: Any agreements (e.g., leases, service contracts, purchases) entered into via the Platform are directly between the respective Users (e.g., Host and CPO, CPO and Vendor). PointGreen is not liable for breaches, disputes, or damages arising from such agreements.
- Eligibility
3.1 User Requirements: To use the Platform, you must:
- Be at least 18 years old or a duly incorporated entity under Indian law.
- Have the legal capacity to enter into binding contracts.
- Provide accurate, complete, and verifiable registration information, including KYC details as required (e.g., Aadhaar, GSTIN, or company documents).
3.2 Authorized Use: You may only use the Platform for lawful business purposes related to EV charging infrastructure. Personal or non-commercial use is prohibited unless expressly permitted.
- User Responsibilities
4.1 Accurate Information: You agree to provide truthful and up-to-date information when creating listings, posting services, or purchasing products. PointGreen is not responsible for losses or disputes arising from inaccurate, incomplete, or misleading Content.
4.2 Compliance with Laws: You must comply with all applicable Indian laws, including but not limited to tax laws, property regulations, labor laws, and consumer protection laws.
4.3 Due Diligence: Users are responsible for conducting their own due diligence before entering agreements (e.g., verifying land titles, vendor licenses, product specifications). PointGreen does not perform due diligence on behalf of Users.
4.4 Content Ownership: You retain ownership of your Content but grant PointGreen a non-exclusive, royalty-free license to use, store, and display it to operate the Platform.
4.5 Prohibited Conduct: You agree not to:
- Post false, defamatory, or illegal Content.
- Use the Platform to engage in fraud, misrepresentation, or unlawful activities.
- Attempt to bypass Platform features (e.g., contacting Users outside the Platform to avoid fees).
- Reverse-engineer, hack, or disrupt the Platform’s functionality.
- Credit System
5.1 Credit Purchases: CPOs and other Users may purchase Credits via payment gateways to unlock listings, access premium features, or hire services. Credits are non-transferable and non-refundable except as stated in our Refund Policy.
5.2 No Liability for Credit Use: PointGreen is not liable for outcomes resulting from Credit usage, including but not limited to failed deals, unsatisfactory services, or unverified listings.
5.3 Credit Disputes: Any disputes regarding Credit purchases or deductions must be reported within 7 days via our support channel. PointGreen’s decision on such disputes is final, subject to applicable laws.
- Fees and Payments
6.1 Platform Fees: PointGreen may charge fees for certain services, such as Credit purchases, vendor commissions, or product sales margins, as displayed at the time of transaction.
6.2 Taxes: Users are responsible for any applicable taxes (e.g., GST) on transactions facilitated through the Platform. PointGreen will issue GST-compliant invoices where required.
6.3 Third-Party Payment Processors: Payments are processed by third-party providers (e.g., Razorpay). PointGreen is not liable for errors, delays, or disputes arising from payment processing.
- Limitation of Liability
7.1 No Warranty: The Platform is provided on an “as-is” and “as-available” basis. PointGreen makes no warranties, express or implied, regarding the Platform’s accuracy, reliability, or fitness for any purpose.
7.2 Exclusion of Liability: To the fullest extent permitted by law, PointGreen, its affiliates, directors, employees, or agents shall not be liable for:
- Direct, indirect, incidental, consequential, or punitive damages arising from Platform use.
- Losses due to inaccurate listings, failed deals, defective products, or unsatisfactory services.
- Disputes between Users (e.g., breach of lease agreements, non-payment for services).
- Technical issues, downtime, data loss, or unauthorized access beyond our reasonable control.
- Any third-party actions, including payment processor errors or User misconduct.
7.3 Maximum Liability: If PointGreen is found liable despite this clause, our total liability shall not exceed the amount paid by you for Credits or fees in the preceding 3 months.
- Indemnification
You agree to indemnify and hold harmless PointGreen, its affiliates, and their respective officers, directors, and employees from any claims, losses, liabilities, or expenses (including legal fees) arising from:
- Your use of the Platform.
- Your Content or interactions with other Users.
- Violation of these Terms or applicable laws.
- Disputes with third parties resulting from agreements facilitated by the Platform.
- Dispute Resolution
9.1 Between Users: PointGreen is not responsible for resolving disputes between Users. Users must resolve disagreements (e.g., over land deals, services, or products) directly, through negotiation, mediation, or legal recourse as needed.
9.2 Platform Disputes: Any disputes with PointGreen shall first be addressed via our support channel (sales@pointgreen.in). If unresolved within 30 days, disputes will be governed by:
- Governing Law: Laws of India.
- Jurisdiction: Exclusive jurisdiction of courts in Bengaluru, Karnataka, India.
- Arbitration (Optional): Disputes may be submitted to arbitration under the Indian Arbitration and Conciliation Act, 1996, with a single arbitrator appointed mutually, conducted in English in Bengaluru
- Intellectual Property
10.1 Platform Ownership: All intellectual property rights in the Platform, including its design, code, trademarks, and content (excluding User Content), belong to PointGreen or its licensors.
10.2 Limited License: You are granted a non-exclusive, non-transferable license to use the Platform for its intended purpose, subject to these Terms.
10.3 User Content: You grant PointGreen a perpetual, worldwide, royalty-free license to use, store, and display your Content to provide and promote the Services.
- Termination
11.1 By You: You may stop using the Platform at any time by deactivating your account.
11.2 By PointGreen: We may suspend or terminate your access if you:
- Violate these Terms.
- Engage in fraudulent, abusive, or illegal activity.
- Fail to comply with KYC or payment obligations.
11.3 Effect of Termination: Upon termination, you lose access to your account, Credits, and Content. PointGreen is not liable for any losses resulting from termination.
- Privacy
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Platform, you consent to such processing in accordance with Indian data protection laws.
13. Force Majeure
PointGreen is not liable for delays or failures in performance due to events beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service failures.
- Amendments
We may update these Terms at any time by posting the revised version on the Platform. Continued use after such changes constitutes your acceptance of the updated Terms. Significant changes will be notified via email or in-app alerts.
- Miscellaneous
15.1 Entire Agreement: These Terms, along with the Privacy Policy and any other policies referenced, constitute the entire agreement between you and PointGreen.
15.2 Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
15.3 No Waiver: Our failure to enforce any right does not waive that right.
15.4 Assignment: You may not assign your rights under these Terms without our consent. PointGreen may assign its rights freely.
